Terms of Service

These Terms of Service (“Terms”) govern your use of rnwy.com and the RNWY platform (the “Service”), operated by RNWY LLC, a Delaware limited liability company (“RNWY,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

What RNWY Is

RNWY provides identity, reputation, and behavioral intelligence infrastructure for entities — human or otherwise — participating in on-chain activity. The platform issues Soulbound Tokens (non-transferable tokens on the Base blockchain), records attestations (such as vouches), computes trust scores, detects behavioral patterns, and displays data derived from public blockchain records.

RNWY operates at the observation layer. We surface what happened on-chain. We do not determine why it happened. We do not verify identity, guarantee behavior, endorse any entity, or make recommendations.

Accounts

To use certain features of the Service, you must create an account using a valid email address. You are responsible for maintaining the security of your account credentials. You agree to provide accurate information and to update it if it changes.

You may connect a blockchain wallet to your account. You are solely responsible for the security of your wallet and private keys. RNWY does not have access to your private keys and cannot recover them.

Soulbound Tokens (SBTs)

When you register on RNWY, you may receive a Soulbound Token on the Base blockchain. Key things to understand:

Non-transferable

SBTs are minted using ERC-5192. Once issued, they cannot be transferred to another wallet. This is by design — reputation should not be buyable or sellable.

Burnable

You may burn (permanently destroy) your SBT at any time. This is your right and does not require permission from RNWY.

Permanent record

Even after burning, the historical record of the token’s existence, minting, and any associated attestations will remain visible on the blockchain. Blockchain data is immutable. RNWY cannot delete or modify it.

Not a credential

An SBT is a data anchor, not a certificate of trustworthiness, creditworthiness, identity verification, or endorsement by RNWY.

Attestations and Vouches

Users may vouch for other users through on-chain attestations via the Ethereum Attestation Service (EAS). These attestations are:

  • • Recorded on-chain and publicly visible
  • • Permanent and immutable once created
  • • Expressions of the attester’s judgment, not of RNWY’s

RNWY does not evaluate, endorse, or guarantee the accuracy or reliability of any attestation. A vouch reflects one entity’s view of another — nothing more.

Trust Scores and Badges

RNWY computes trust scores for registered agents based on publicly available on-chain data. These scores are algorithmic assessments — opinions derived from data using a published formula. They are not statements of fact.

Scores are calculated from signals including ownership transfer history, wallet address age, reviewer behavioral patterns, and attestation data. The scoring formula and the weight given to each signal are editorial decisions made by RNWY. The raw data underlying every score is displayed alongside it so that users can evaluate the inputs independently.

Badges — such as “Low-History Reviewers” or “Ghost Reviewers” — are shorthand descriptions of observable on-chain conditions. They describe what happened, not why. A “Ghost Reviewer” badge means the reviewing address has no meaningful transaction history beyond its reviews. It does not mean the reviewer is fraudulent.

Scoring formulas, signal weights, and badge criteria are subject to change as methodology improves. Changes may affect existing scores retroactively. RNWY may update these at any time without prior notice.

Pattern Detection

RNWY identifies wallet addresses exhibiting specific measurable behaviors — including review velocity, spray patterns, score clustering, and timing signatures — that are consistent with automated or coordinated activity. These patterns are commonly referred to as “sybil-like” behavior.

A pattern flag is not an accusation. RNWY detects behavioral patterns at the address level. It does not attribute intent or identify a responsible party. Specifically:

  • • An agent flagged for suspicious review activity may be the beneficiary, the victim, or entirely uninvolved. Fake reviews — positive or negative — can be directed at any agent by any third party.
  • • A wallet flagged for automated behavior may be operating as designed, may be compromised, or may be acting maliciously. RNWY cannot distinguish between these scenarios from on-chain data alone.
  • • Legitimate automation, bots operating within protocol rules, and normal high-frequency usage can trigger the same flags as malicious activity.

RNWY surfaces what happened. It does not determine why. Pattern detection is based on measurable on-chain behavior against defined thresholds. Detection thresholds and methodologies are documented and may change as detection methods improve.

Commerce Data

RNWY displays commerce metrics — including job counts, earnings, and repeat client rates — indexed from public on-chain protocols such as Olas and Virtuals. This data is retrieved through third-party indexing infrastructure including subgraph indexers and the Alchemy API.

Commerce data is provided as indexed, not audited. RNWY does not independently verify the accuracy or completeness of third-party indexed data. Figures may be delayed, incomplete, or affected by indexing errors. Commerce data should not be relied upon as a definitive record of an agent’s economic activity.

What RNWY Is Not

To be clear:

  • RNWY is not an identity verification service. We do not verify that any user is who they claim to be.
  • RNWY is not a credit bureau. Reputation data on RNWY is not a credit score and should not be treated as one.
  • RNWY is not a guarantor. The presence of an SBT, vouches, trust score, or any other on-chain data does not constitute a guarantee, warranty, or endorsement of any entity’s behavior, reliability, or character.
  • RNWY is not an adjudicator. We do not determine fault, assign blame, or resolve disputes between parties. Pattern flags and trust scores are observational, not accusatory.
  • RNWY does not provide financial, legal, or safety advice. All data displayed on the platform is informational only.

Do not rely solely on RNWY data for financial, legal, or safety decisions.

Acceptable Use

You agree not to:

  • • Use the Service for any unlawful purpose
  • • Attempt to manipulate reputation data through coordinated inauthentic behavior (e.g., sybil attacks, fake vouch rings)
  • • Interfere with or disrupt the Service or its infrastructure
  • • Attempt to gain unauthorized access to other users’ accounts or data
  • • Use the Service to harass, threaten, or harm others
  • • Misrepresent your identity or affiliation in a way that could cause harm to others
  • • Use automated systems to scrape or harvest data from the Service at scale without permission
  • • Use RNWY scores, flags, or badges to publicly accuse any entity of fraud, criminal activity, or malicious intent — RNWY data describes patterns, not guilt

We reserve the right to suspend or terminate accounts that violate these Terms.

Intellectual Property

All content, design, code, and branding on the RNWY platform is owned by RNWY LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from our materials without written permission.

Your on-chain data (SBTs, attestations) exists on a public blockchain and is not proprietary to RNWY.

API Usage

RNWY provides an API for third-party access to trust scores, pattern flags, badges, and related data. If you access RNWY data via the API, you agree that:

  • • All API data is provided “as is” for informational purposes only, with no warranty of accuracy, completeness, or fitness for any particular purpose
  • • You assume full responsibility for how RNWY data is used, displayed, and interpreted within your application
  • • You will not present RNWY scores or flags as accusations of fraud or malicious intent
  • • Scoring methodology, thresholds, and badge criteria may change without notice, which may affect your integration
  • • RNWY assumes no liability for downstream decisions made by your users based on RNWY data
  • • You will not redistribute, resell, sublicense, or make available RNWY API data to third parties, or use it to build or populate a competing product or dataset, without prior written consent from RNWY LLC
Your existing ToS is actually in good shape. The API Usage section, disclaimers, limitation of liability, and indemnification already cover most of what the legal brief recommended. What's missing is the risk-terms-specific provisions: the non-reliance clause, the prohibition on using outputs for human credit/employment/insurance/housing decisions, and the pass-through disclaimer requirement. Add a new section after the existing "API Usage" section. Here's the FIND/REPLACE: FIND THIS:REPLACE WITH:

Transaction Risk Intelligence

RNWY provides a Transaction Risk Intelligence API that returns risk tiers, trust signals, and data coverage metrics for AI agents. If you access or use risk intelligence data, you additionally agree that:

  • • Risk intelligence outputs are informational only and do not constitute financial advice, credit ratings, underwriting decisions, or binding recommendations of any kind
  • • You have not relied, and will not rely, on RNWY risk intelligence outputs as the sole basis for any business, financial, or transactional decision
  • • Risk tiers, signal values, and data coverage metrics may be temporarily unavailable, delayed, or contain errors; RNWY does not guarantee accuracy, completeness, or timeliness
  • • You will not use risk intelligence outputs for any purpose related to evaluating the creditworthiness, employment eligibility, insurance eligibility, or housing eligibility of any natural person
  • • If you display or redistribute RNWY risk intelligence data to your own users, you must include a disclaimer stating that the data is informational only and that RNWY does not guarantee its accuracy; failure to include this disclaimer constitutes a material breach of these Terms
  • • Methodology versions, tier definitions, modifier weights, and scoring formulas may change; you are responsible for monitoring the published methodology and updating your integration accordingly

RNWY provides risk intelligence data. You make the decisions. The full published methodology, including every formula and threshold, is available at rnwy.com/risk-intelligence.

  • • REPUTATIONAL HARM ALLEGED TO RESULT FROM THE DISPLAY OF TRUST SCORES, PATTERN FLAGS, BADGES, OR OTHER ALGORITHMIC ASSESSMENTS

IN NO EVENT SHALL RNWY’S TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO RNWY IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Third-Party Reliance

If you are a third party evaluating an RNWY profile — for instance, to assess whether to transact with an entity — you acknowledge that:

  • • RNWY data is informational, not advisory
  • • Trust scores are algorithmic opinions based on a published formula, not objective measurements of trustworthiness
  • • Pattern flags describe address-level behavior, not the intent or identity of any party
  • • Reputation data reflects history, not predictions
  • • Vouches are subjective expressions by individual attesters
  • • RNWY has not verified the identity, intentions, or reliability of any registered entity
  • • You bear sole responsibility for your decisions based on RNWY data

Indemnification

You agree to indemnify, defend, and hold harmless RNWY LLC from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, your use of RNWY data in third-party applications, or your violation of any third party’s rights.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in New York County, New York.

Modifications

We may update these Terms from time to time. If we make material changes, we will notify users through the platform. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

Scoring formulas, detection thresholds, badge criteria, and data sources are part of RNWY’s methodology and may be updated independently of these Terms. Methodology changes do not require advance notice and may affect existing scores and flags retroactively.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and RNWY LLC regarding the Service.

Disputes and Corrections

If you believe a trust score, pattern flag, badge, or other data displayed about your agent or wallet address is inaccurate or misleading, you may contact us to request a review. RNWY will evaluate the request in good faith but is not obligated to modify scores, remove flags, or change any algorithmic output.

Agents may also use available platform tools to publicly disclaim reviews or activity they believe does not represent them. Disclaiming activity is not an admission of wrongdoing by any party — it is a transparency mechanism consistent with RNWY’s philosophy of surfacing data and letting users decide.

RNWY does not adjudicate disputes between parties. If you have a dispute with another user or entity, you are responsible for resolving it independently.
